This agreement is made and entered between Event Pros LLC (hereinafter referred to as 'Client' and yourself, hereinafter referred to as 'Contractor'.

Recitals:

Client is in the business of booking special event personnel to do promotional work at tradeshows and special events of third-party customers. Contractor wishes to contract with Client to provide these services. NOW THEREFORE, based upon the above recitals and in consideration of the mutual promises contained herein the parties hereto agree as follows:

Agreement:

Description of work contracted for: In consideration of, and subject to, all of the terms, covenants and conditions herein, Client hereby retains Contractor to provide promotional/marketing expertise and support services at tradeshows and special events.

Description of Services:

Contractor will perform promotional /sales support expertise/duties which may include but are not limited to reception, lead coordination, script narration and/or product demonstration for third party Customers of Client. Contractor is not to be subject to any undue emotional, physical, or sexual harassment from third party Customers or their guests and will not be required to perform unreasonable demands placed upon them by such parties.

Relationship of Parties:

This agreement does not constitute a hiring. The parties intend that Contractor shall be an Independent Contractor and not an employee of Client. Client is interested only in the result to be achieved by Contractor hereunder; the means and manner of accomplishing same shall lie with Contractor, except as otherwise specified herein. Contractor is not to be considered an agent or employee of Client's for any purpose. All compensation paid to Contractor hereunder shall constitute earnings to Contractor from Self-Employed Income. Client shall not withhold any amounts there from as Federal or State Income Taxes or as Employee contributions under Federal Insurance Contributions Act (Social Security), State Unemployment Insurance law, Workers' Compensation law or any similar Federal or State law applicable to employers and employees. Contractor shall be solely responsible and liable for the estimations and timely payment of any Federal or State Income tax on Self-employment income and the timely payment of Federal and State Insurance contributions on self-employment income attributable to any compensation paid to Contractor hereunder. Client shall file annually a Form 1099 to the taxing authorities listing all compensation paid to the Contractor for the previous calendar year.

Duties of Contractor:

Contractor agrees to use his/her best efforts to perform hereunder, to put in sufficient time and maintain an adequate schedule for that purpose. When Contractor accepts an assignment from Client, he/she shall furnish any and all lodging and transportation costs to and from the location where services are to be performed at his/her own expense unless otherwise specified in the assignment/booking confirmation. Should contractor be unable to perform any agreed upon service(s), he/she will immediately notify Client so that a replacement can be found. If contractor does not complete all days of the assignment or is released from an assignment by Client or Client's Customer for any reason related to unsatisfactory performance; tardiness, attire or for any reason that the Client or Client's Customer deems necessary, the Client is unequivocally released from all responsibility of payment or reimbursement of expenses to Contractor. Failure to abide by each and all of the above is breach in contract and may result in denial of compensation for services performed.

Indemnification:

The Contractor agrees to hold harmless Client and its Customers from any and all liability, loss, harm, damage, cost or expense whatsoever, including all reasonable counsel fees and court costs incurred, and including without limitation, property damage, personal injury in any way arising out of or based upon the performance by Contractor under this agreement, or upon any act or omission of Contractor or any employees of Contractor..

No Solicitation:

Contractor shall not solicit nor accept assignments/booking from any Customers, agency's or individuals representing Customer (either directly or indirectly) for a period of two (2) years from completion of any event that was booked through the service of Event Pros LLC.

Term of Agreement:

This agreement shall remain in full force and effect until terminated by mutual agreement; however, the agreement may be terminated by Client at any time upon Contractor's breach.

Governing Law:

This agreement is entered into and shall be governed by and construed in accordance with the laws of the State of Arizona. Any claims or controversy that arises out of, or relates to this agreement, or the breach of it or any contracts accepted, will be settled by arbitration in Maricopa County, Arizona.
